§ 1 Scope

  1. These General Terms and Conditions (GTC) apply to all contracts concluded between StackForge UG (haftungsbeschränkt) (hereinafter "we" or "Provider") and users (hereinafter "you" or "Customer") via the Pastely service.

  2. Pastely is an online service that enables the creation of public profile pages ("Tree") and the use of link-shortening functionality.

  3. Deviating terms and conditions of the Customer shall only apply if we have expressly agreed to them in writing.

  4. For contracts with business customers (B2B), the provisions of § 14 of these GTC apply in addition and take precedence over the general provisions as special rules.

§ 2 Formation of Contract and Registration

  1. To use Pastely, you must create an account. A contract between you and us is formed upon completion of registration.

  2. You must provide truthful information during registration and keep your details up to date.

  3. You must be at least 16 years old to use Pastely. By registering, you confirm that you meet this age requirement.

  4. Each person may only create one account. The account is non-transferable.

  5. Access credentials (password, passkey) must be kept confidential. You are responsible for all activities that occur through your account.

§ 3 Services Provided by Pastely

Pastely provides the following features:

  1. Account: Creating and managing a personal user account.

  2. Tree (public profile): Creating a publicly accessible profile page with links, personal information, and other content.

  3. Link shortening: Creating and managing shortened links, as well as accessing usage statistics for those links.

  4. Referral programme: Inviting other people to use Pastely via a personal referral code.

  5. Paid plans (plan upgrade): Purchasing extended features for a fee.

We reserve the right to further develop, modify, or discontinue individual features of the service, provided this is reasonable for you.

§ 4 User Content

  1. You may post your own content in your profile (Tree) and elsewhere within the service, in particular texts, links, images, and other media.

  2. You are solely responsible for all content you post. You ensure that:

    • the content does not violate applicable law,
    • the content does not infringe the rights of third parties, in particular no copyright, trademark, or personality rights,
    • you hold all necessary rights to the content.
  3. Prohibited content: It is in particular prohibited to post content that:

    • is illegal or calls for illegal acts,
    • is protected by copyright without you holding the necessary usage rights,
    • contains hate speech, discrimination, or violence,
    • harasses third parties or violates their rights.
  4. Licence: By posting content, you grant us a simple, non-exclusive, worldwide, and royalty-free licence to the extent technically necessary for the provision of the service (in particular for the display of your public profile). This licence expires when you delete the relevant content or close your account.

  5. We are entitled to remove content that violates these terms. In the event of serious or repeated violations, we reserve the right to suspend or terminate the account.

§ 5 Paid Services and Payment

  1. Certain features of Pastely are only available under a paid plan. The current prices can be viewed on our website.

  2. A paid contract is formed upon booking a plan.

  3. Due date: The invoice amount is due immediately upon booking.

  4. Payment processing: Payments are processed exclusively through a payment service provider commissioned by us. The terms of use and privacy notices of the service provider apply.

  5. Invoices will be made available to you through your account.

§ 6 Term, Renewal, and Cancellation

  1. Paid plans have a monthly term unless otherwise stated.

  2. You may cancel a paid plan at any time. Cancellation can be made via the account settings or by email to us.

  3. After cancellation, the plan continues until the end of the already paid billing period. No pro-rata refund will be issued.

  4. Your free account can be closed by you at any time without giving reasons, or terminated by us. In the event of termination by us for good cause (e.g. a serious breach of these GTC), we may suspend the account with immediate effect.

  5. After closure of the account, your data will be deleted in accordance with our privacy notice, unless statutory retention obligations require otherwise.

§ 7 Right of Withdrawal

For Consumers (B2C):

You generally have the right to withdraw from a contract for digital services within 14 days without giving reasons.

Expiry of the right of withdrawal: The right of withdrawal expires early if we have begun performance of the contract and you have expressly agreed that we may begin performance before the expiry of the withdrawal period, and have confirmed that you will lose your right of withdrawal once performance has begun.

By starting to use the paid plan (e.g. activation of extended features), you expressly agree that we will begin performance immediately. You simultaneously confirm that you lose your right of withdrawal upon the commencement of performance.

Withdrawal notice: If you wish to withdraw, please notify us before the deadline by email (hello@pastely.eu) or by post. It is sufficient to send the notification in good time.

§ 8 Referral Programme

  1. You can invite other people to use Pastely via a personal referral code.

  2. If a referred person registers using your referral code and purchases a paid plan, both you (the referrer) and the referred person will each receive one free month of the relevant plan as credit.

  3. The referral programme must not be misused. The following are in particular prohibited:

    • creating fake accounts,
    • using bots or automated means to generate referrals,
    • any other form of dishonest or manipulative use.
  4. In the event of misuse, we reserve the right to cancel credits and to suspend or terminate the account.

  5. We reserve the right to amend or discontinue the referral programme at any time. Credits already granted shall not be affected.

§ 9 Availability of the Service

  1. We endeavour to provide Pastely continuously and reliably. However, there is no entitlement to any specific level of availability of the service.

  2. Maintenance work, technical disruptions, or other interruptions may temporarily limit usability. We will announce scheduled maintenance work in advance where possible.

  3. For damages arising from a temporary unavailability of the service, we are only liable within the scope of § 10 of these GTC.

§ 10 Liability

  1. We are liable without limitation for damages resulting from injury to life, body, or health, as well as for damages caused intentionally or by gross negligence.

  2. In the case of slight negligence, we are only liable for the breach of material contractual obligations (so-called cardinal obligations), i.e. those obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely. In these cases, our liability is limited to the typically foreseeable damage.

  3. Otherwise, our liability is excluded to the extent permitted by law.

  4. We are not liable for content that you post in your profile or elsewhere. You shall indemnify us against third-party claims arising from a breach of your obligations under § 4.

  5. The limitations of liability also apply in favour of our employees, representatives, and agents.

§ 11 Amendments to These GTC

  1. We reserve the right to amend these GTC where there is a legitimate reason (e.g. legal changes, new features, changed technical conditions).

  2. We will notify you of changes by email to the address stored in your account, at least 4 weeks before the planned entry into force.

  3. If you do not object to the changes, they shall be deemed accepted (deemed consent). We will expressly draw your attention to this in the notice of amendment.

  4. You have the right to object to the changes within the stated period. In the event of an objection, we are entitled to terminate the contractual relationship at the time the changes come into force.

§ 12 Data Protection

The protection of your data is important to us. Information about what data we process and how can be found in our Privacy Notice on our website.

§ 13 Final Provisions

  1. Applicable law: The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

  2. Jurisdiction: For all disputes arising from or in connection with these GTC, Landshut is agreed as the place of jurisdiction, to the extent permitted by law. For consumers, this place of jurisdiction shall only apply if you do not have a general place of jurisdiction in Germany or if you have moved your place of residence abroad after the conclusion of the contract.

  3. Severability clause: Should any provision of these GTC be invalid or unenforceable, the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.

  4. Language: The language of the contract is German. This English translation is provided for convenience only. In the event of any discrepancy or conflict between the German and English versions, the German version shall prevail.

§ 14 Special Provisions for Business Customers (B2B)

The following provisions apply exclusively to customers who, at the time of conclusion of the contract, are acting in the exercise of a commercial or independent professional activity (entrepreneurs within the meaning of § 14 BGB). They take precedence over the general provisions of these GTC.

  1. No right of withdrawal: The statutory right of withdrawal (§ 7 of these GTC) does not apply to business customers.

  2. Liability: Liability for slight negligence is entirely excluded vis-à-vis business customers, to the extent no cardinal obligations are breached. § 10 para. 1 remains unaffected.

  3. Jurisdiction: The exclusive place of jurisdiction for all disputes with business customers is Landshut.

  4. Business customer's GTC: Conflicting or deviating terms and conditions of the business customer shall not become part of the contract, even if we do not expressly object to them.

  5. Notice of defects: Business customers are obliged to report defects in writing without undue delay upon discovery (§ 377 HGB applies mutatis mutandis).
